Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your use of the products operated by Loki Labs ("Loki", "we", "our"), a company established in Poland, including Loki Messages, Loki Chat, and Beside (together, the "Services"). By creating an account or using the Services, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind it.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. The Services are not available in countries subject to U.S. trade sanctions.

3. Accounts

You are responsible for keeping your credentials confidential and for all activity under your account, including activity by other members of your organization. Notify us promptly at security@lokimessages.com if you suspect unauthorized access.

API keys (issued in the format lok_…) are bearer credentials. Treat them like passwords; rotate compromised keys immediately through the dashboard.

4. Acceptable Use

You agree not to use the Services to:

  • Send unsolicited bulk messages, "spam", phishing, or messages that violate the TCPA, CAN-SPAM, GDPR, or any other applicable communications or privacy law
  • Impersonate another person or organization, or misrepresent your affiliation with one
  • Send messages that are harassing, threatening, sexually explicit involving minors, or that promote violence or illegal activity
  • Probe, scan, or test the vulnerability of the Services without prior written authorization
  • Reverse engineer, resell, or redistribute the Services other than as expressly permitted
  • Build a competing product using non-public technical information about the Services

We may suspend or terminate access for violations of this section without prior notice if we believe immediate action is required to protect users or the Services.

5. Messaging Compliance

You are responsible for obtaining all required consents from recipients before sending them messages, and for honoring opt-out requests (including "STOP", "UNSUBSCRIBE", and similar). You will retain records sufficient to demonstrate compliance with applicable law for at least four years.

6. Fees and Billing

Pricing is published at lokimessages.com/pricing. Fees accrue based on metered usage and any plan-specific allowances. We bill in arrears via Stripe; invoices are due upon issuance. Failed payments may result in suspension after a 7-day grace period.

You authorize us to charge your payment method for all fees, including any applicable taxes. Fees are non-refundable except where required by law.

7. Customer Content

Messages, attachments, agent prompts, and other materials you submit through the Services ("Customer Content") remain yours. You grant Loki a worldwide, royalty-free license to host, store, transmit, and process Customer Content solely to provide and improve the Services. We do not use Customer Content to train third-party AI models.

You represent that you have all rights necessary to submit Customer Content and that it does not infringe any third-party rights.

8. Third-Party Services

The Services rely on third parties including Cloudflare, Apple (iMessage), Stripe, and various AI model providers (Anthropic, OpenAI, Google, Cloudflare Workers AI). Your use of those services through Loki is subject to their terms. We are not responsible for the availability, accuracy, or actions of any third-party service.

9. Service Availability

We aim to keep the Services available, but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance and third-party outages may affect availability.

10. Intellectual Property

Loki retains all rights in and to the Services, including software, documentation, trademarks, and brand assets. Nothing in these Terms grants you any license to our intellectual property except the limited right to use the Services as provided.

11. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs may be incorrect, incomplete, or offensive. You are responsible for reviewing AI output before relying on it.

12. Limitation of Liability

To the maximum extent permitted by law, Loki and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or relating to the Services. Our total liability for any claim arising out of these Terms or the Services will not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) US$100.

13. Indemnification

You will defend, indemnify, and hold harmless Loki from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) your Customer Content, (b) your use of the Services in violation of these Terms or applicable law, or (c) your violation of any third-party right.

14. Termination

You may close your account at any time through the dashboard or by emailing support@lokimessages.com. We may suspend or terminate your account for material breach of these Terms or as required by law. Upon termination, your right to use the Services ends; sections that by their nature should survive (including 7, 10–13, and 16) will survive.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email or through the dashboard at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Poland, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively by the courts of competent jurisdiction in Warsaw, Poland, and you consent to personal jurisdiction there.

Nothing in this section limits any non-waivable rights that consumers residing in the EU, UK, or other jurisdictions may have under applicable mandatory law, including the right to bring proceedings in the courts of their country of residence.
